COMMERCIAL PHOTO LICENSING AGREEMENT
This agreement (“Agreement”) governs the commercial use of photographic images (“Photo(s)”) purchased from https://andrewcphan.com (“Website”) and is entered into between you, the purchaser (“Licensee”), and ANDREW C PHAN CREATIVE (“Licensor”).
By purchasing, downloading, or using any Photo from this Website, you agree to the following terms:
1. Grant of License
Upon payment, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable, commercial license to use the purchased Photo(s) for permitted commercial purposes as outlined below.
2. Permitted Commercial Uses
The Licensee may use the Photo(s) in:
- Business websites and social media accounts
- Digital advertisements and email marketing
- Printed marketing materials (flyers, brochures, business cards, etc.)
- Product packaging or labels (up to 5,000 units)
3. Prohibited Uses
The Licensee may not:
- Resell, redistribute, or give away the Photo(s) as standalone files or within stock libraries
- Claim authorship or copyright of the Photo(s)
- Use the Photo(s) in NFTs, AI training datasets, pornographic, defamatory, or unlawful content
- Use the Photo(s) on merchandise (t-shirts, posters, etc.) exceeding 100 units without an extended license (contact us)
4. Ownership
All rights, title, and interest in the Photo(s) remain with the Licensor. The Licensee receives usage rights only, not ownership or copyright.
5. License Duration
This license is perpetual unless terminated by breach. It does not expire, and no recurring fees apply.
6. Attribution
Attribution is not required, but always appreciated. If credited, please use:

7. Refunds & Termination
Due to the digital nature of the Photo(s), all sales are final. The license will be terminated immediately if the Licensee violates any terms. Upon termination, all usage must cease and all copies deleted.
8. Liability
Licensor is not liable for any claims or damages arising from the Licensee’s use of the Photo(s), including improper use or third-party rights violations.
9. Governing Law
This Agreement is governed by the laws of the State of California, USA.
